First of all, the short word for "midnight club 3" is "MC3", not "mnc3"
And the other should be "NFSU-2"
I haven't played MC3 yet, so I can't compare them. But I think NFSU-2 is better.

Underground 2 because its for PC, unlike Midnight which happened to be on consel only . Midnight club 2 was on PC...

The games are completly different. UG2 was on PC. MC3 wasnt. UG2 had a lame ass city to drive in, MC3 had real locations. Overall these games are too different to compare.. Not to mention MC3 came out a while after UG 2 did which plays a role in graphics and city size...

definetly midnight club 3, i could get my cars looking alot better than i could in underground 2. i think that the bodykits, rims, vinyls and paint were all way better than they were in underground 2.
the soundtrack was heaps better and i loved how you could make your ove decals.
